1. Introduction

These Terms & Conditions (“Agreement”, “Terms”) govern the use of the website https://allyonlineservices.com (“Website”, “Site”) and all services offered by ALLY LEGAL SERVICES PRIVATE LIMITED (“Company”, “we”, “our”, “us”).

By accessing or using our Site, platform, or services, you (“User”, “Client”, “you”) agree to comply with and be legally bound by these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you do not agree, you should discontinue use of our services immediately.

The Company is a duly incorporated entity under the Companies Act, 2013, engaged in providing legal, corporate, compliance, and allied consultancy services, subject to Indian laws.

2. Scope & Applicability

  • These Terms apply to all Users who access our Website, register for services, or engage with our Company.

  • We reserve the right to amend, update, or revise these Terms at any time without prior notice. Updates will be effective once posted on the Website. Continued use constitutes acceptance of revised Terms.

3. Professional Fees, Government Charges & GST

  • Professional Fees: Fees for services are communicated prior to engagement. Payment is required in advance unless otherwise agreed in writing.

  • GST: Goods and Services Tax (GST) will be levied as applicable. Clients providing a valid GSTIN at the time of payment will receive a GST invoice and may avail Input Tax Credit (ITC). The responsibility to provide accurate GST details rests solely with the Client.

  • Government Fees: Any statutory fees (ROC filing, MCA charges, IPR registration fees, stamp duty, etc.) must be paid by the Client and are non-refundable. We act only as a facilitator for remittance.

4. Responsible Use & Client Obligations

By engaging our services, you agree:

  1. To provide true, accurate, complete, and updated information.

  2. To maintain confidentiality of account login details, OTPs, and shared documents.

  3. That all activities under your account are your responsibility.

  4. To not misuse, duplicate, resell, or exploit our platform or services.

  5. To ensure timely submission of all documents/information required for service delivery.

  6. That delays or errors arising due to incomplete or incorrect information/documents will be your responsibility.

5. Service Delivery & Completion

  • Our responsibility is deemed fulfilled once documentation is filed, submitted, or made available to the Client.

  • We do not guarantee outcomes that depend on third-party authorities (e.g., MCA, GST, Income Tax, Trademark Registry, or any Government body).

  • Delays caused by government departments, force majeure, or third-party platforms are outside our control and cannot be grounds for refund claims.

6. Cancellation, Refund & Adjustments

  • Fees once paid are non-refundable, except in cases of proven non-performance solely attributable to us.

  • Government charges, statutory fees, and third-party payments are strictly non-refundable.

  • Refund requests must be made in writing within 7 business days of payment.

  • Approved refunds may be subject to a 20% cancellation fee (administrative charges).

  • Service changes (e.g., switching from one service to another) may be allowed within 7 days of payment, subject to management approval.

7. Confidentiality & Data Protection

  • All personal and business information shared with us will be maintained with strict confidentiality in line with our Privacy Policy.

  • We employ industry-standard safeguards (SSL, encryption, secure servers) to protect data, but cannot guarantee absolute security for data transmitted online.

  • We may disclose data if required by law, regulatory authority, or court order.

8. Intellectual Property

  • All content, materials, trademarks, logos, code, and designs on our Website are the exclusive property of ALLY LEGAL SERVICES PRIVATE LIMITED.

  • Unauthorized reproduction, distribution, or commercial use is prohibited and may invite civil/criminal liability.

9. Limitation of Liability

  • Our services are provided on an “as is” and “as available” basis.

  • We make no warranties (express or implied) regarding accuracy, completeness, or suitability of information.

  • We shall not be liable for any indirect, incidental, or consequential damages including but not limited to loss of data, profits, or goodwill.

  • In any case, our maximum liability shall be limited to the amount of professional fees actually paid for the service in question.

10. Indemnification

You agree to indemnify, defend, and hold harmless ALLY LEGAL SERVICES PRIVATE LIMITED, its directors, employees, and agents against all claims, liabilities, damages, or expenses (including legal fees) arising out of:

  • Your breach of these Terms;

  • Misuse of our services;

  • Inaccurate or misleading information/documents provided by you;

  • Violation of applicable laws.

11. Termination of Use

We may suspend or terminate your account and deny access to services without notice if:

  • You breach these Terms;

  • You engage in unlawful, fraudulent, or abusive activities;

  • Required by regulatory or governmental orders.

Such termination may also include deletion of your stored data.

12. Force Majeure

We are not liable for delays or failure to perform obligations due to events beyond our reasonable control, including natural disasters, pandemics, strikes, system failures, cyberattacks, or government actions.

13. Governing Law & Jurisdiction

  • This Agreement shall be governed by and construed under the laws of India.

  • Any disputes arising out of this Agreement shall be subject to the exclusive jurisdiction of the Courts of New Delhi, India.
